What Is a UBO?
A UBO is any real person who ultimately owns or controls over 25% of a company’s shares, voting rights, or other control rights—either directly or indirectly. When no individual meets this threshold, senior management must be named instead.
Who Needs to Register?
Entities that must register include:
- Cyprus-incorporated companies
- European Public Limited Companies (SEs)
- Partnerships registered under Companies Law Cap. 113
Exemptions apply to listed companies on regulated markets and entities undergoing liquidation or deregistration before March 2021.
What Information Is Required?
For each UBO, entities must submit:
- Full name, date of birth, nationality, residential address, ID details
- Nature and extent of ownership or control (percentage or voting rights)
- Dates of acquiring or losing UBO status
- For structures with trusts or foundations, details on trustees, settlors, and beneficiaries.
- For indirect ownership through partnerships, reveal the ultimate controlling persons .
Deadlines & Annual Confirmation
- New entities: register within 30–90 days of incorporation.
- Changes: report updates within 14–45 days of any change.
- Annual confirmation: complete once per year between October and December.
- Transition deadlines: initial submissions and updates were due by March 31, 2024, for existing entities .
Penalties for Non-Compliance
From April 2024, failure to comply triggers fines starting at €200, plus €100 per day up to €20,000 per officer or company. Criminal charges may also apply for serious violations .
Access & Privacy
The UBO register isn’t public. Access is limited to:
- Regulatory bodies (e.g., FIU, Tax Department, police)
- “Obliged entities” (like banks, accountants, legal firms) for compliance checks
Public access is restricted under EU privacy rulings.
